Best Effort Clause
This Best Effort Waiver Agreement ("Agreement") is entered into by and between Simple Machining LLC ("Provider"), a California limited liability company, and the undersigned customer ("Customer").
The Provider commits to making a diligent and good-faith attempt to meet the project specifications but does not guarantee the outcome or absolute adherence to specifications due to some or all of the factors listed below. Acknowledgment of Risk Factors and Limitation of Liability
Customer understands and agrees that the following factors may significantly affect the
Provider’s ability to deliver work that strictly conforms to the desired specifications, tolerances,
or timelines:
1. Tight or rushed timelines;
2. Mid-project changes to scope, specifications, or requirements;
3. Customer-supplied or unverified designs or materials;
4. Incomplete, conflicting, or ambiguous specifications;
5. Use of experimental, unproven, or non-standard materials;
6. Limitations and variations inherent in the chosen materials, processes, and
manufacturing methods;
7. Highly complex or difficult part geometries;
8. Tolerances that exceed typical industry standards.
The Customer agrees that work performed under these or similar conditions is accepted as-is to the extent reasonably possible given the constraints. The Provider shall not be held liable for delays, rework, dimensional variances, cosmetic imperfections, or functional issues that arise
due to the above factors, provided that the Provider has exercised best efforts and reasonable diligence under the circumstances. This Agreement is intended to clarify that best efforts do not equate to a performance guarantee, especially when risk factors are present. Acceptance of the work product under this Agreement constitutes acknowledgment of the inherent limitations and associated risks.
